流動電話服務條款及細則 TERMS AND CONDITIONS FOR MOBILE SERVICE

These Terms and Conditions for Mobile Service (the “Terms and Conditions”) are the general terms and conditions agreed between customer (the Customer”) and 21Vianet Mobile Limited (the Company“) which governs the provision of services to the Customer by the Company in accordance with selected products and services as subscribed (the “Services”). These Terms and Conditions are the Company’s standard agreement, which, along with any other terms that the Customer agrees to (collectively, the “Agreement”), are binding on the Customer and the Company. Latest version of the Terms and Conditions is available on the Company’s website at www.vave.com.hk.

客戶及世紀互聯移動通訊有限公司 (“本公司”) 同意此流動電話服務條款及細則(條款及細則)作為本公司根據客戶選購的產品和服務(服務)而向其提供服務之一般條款及細則。 本條款及細則屬於本公司的標準協議,連同任何其他客戶同意的條款(統稱合約),對客戶和本公司具約束力。最新版本的條款及細則可在本公司網頁www.vave.com.hk查閱。

 

PROVISION OF SERVICES / 服務提供

 

1.             THE SERVICES /服務

           

 

1.1    The Services provided to the Customer is subject to the Company’s prevailing rate of charges for the Services and terms and conditions of the Agreement from time to time. The Company reserves the right at any time to take all such measures that are necessary to ensure the quality of the Services. The Company reserves the right to vary the rate of charges for the Services and features of Services from time to time subject to prior notice.

           本公司可按照當時的服務收費及合約的條款及細則向客戶提供服務。本公司保留權利隨時作出必要措施,以確保服務質素。本公司保留權利隨時更改服務收費及服務功能,並會預先通知。

 

 

1.2     The international communication service provided by the Company is also subject to such other terms and conditions and charges prescribed by the Company and the relevant provider of such service from time to time.

           本公司將按照本公司及相關服務供應商不時訂定的條款及細則和收費,向客戶提供有關國際電訊服務。

 

 

1.3    The Company does not provide directory information service for the Services.

          本公司不會提供電話簿或電話號碼查詢服務。

 

 

1.4   The Customer is prohibited from sending unsolicited promotional message to any person except in accordance with this Clause and any applicable law. The Customer agrees that if he intends to send a message of a promotional or similar nature to another person then he must obtain the express written consent of the recipient to receive the promotional message prior to sending the message to that recipient.  If required by the Company, the Customer must produce the express written consent received from the recipient. If the Company receives a complaint about the Customer sending unsolicited message or reasonably believes the Customer may have breached this clause or the applicable law in this regard, then the Company may (in any order):

除根據本條款及任何適用法律外,客戶不得發送非應邀宣傳訊息給任何人士。客戶同意如發放宣傳或類似性質之訊息予他人,客戶必須先行取得接收人願意接收此等宣傳訊息之明確書面同意,方可發放該訊息予接收人。如本公司要求,客戶必須出示從接收人取得之明確書面同意。如本公司收到關於客戶發放非應邀訊息的投訴或合理相信客戶可能已經違反本條款或這方面的適用法律,本公司可(依以下任何次序):

 

 

(a)      notify the Customer verbally or in writing of the complaint received;

以口頭或書面形式知會客戶有關投訴;

 

 

(b)      require the Customer to respond to the complaint received and the Customer must respond to the Company within three working days of receiving a notification;

要求客戶回應投訴,而客戶亦必須於接獲該通知後三個工作天內回應該投訴

 

 

(c)     block the Customer from sending any further promotional message or suspend the Services until the matter has been resolved and the Company is reasonably satisfied that the Customer is no longer in breach.

        阻止客戶進一步發放任何宣傳訊息或暫停客戶之服務,直至問題解決及本公司合理認為客戶已不再違反為止。

 

 

1.5     The Services provided by the Company shall
only be used by the Customer for private non-commercial use and is not for
resale.

            本公司提供的服務只提供客戶作私人及非商業性用途,客戶不可轉售。

 

 

1.6    The Customer must use the Services with settings including but not limited to the APN setting and communication equipment technically compatible with the Services and as specified by the Company. If the Customer does not follow this specification in the use of the Services, the Customer may not be able to utilise all or any of the Services for which the Company shall not be held responsible and the Company has the right to forthwith suspend/ terminate the Services without notice.

           使用服務時,客戶必須使用本公司指定之設定包括但不限於APN設定及在技術上與服務相容的通訊設備。若客戶在使用服務時不遵守這指定規範,客戶可能無法使用所有或任何服務而本公司概不負責,本公司亦有權立即暫停/終止服務,而毋須作事先通知。

 

 

1.7  The Company may make available SIM card for sale to the Customer. The Company assumes no responsibility in providing any repair or maintenance services in relation to the SIM card.

本公司可向客戶提供SIM卡以作銷售。本公司並不負責向客戶就SIM卡提供任何維修或保養服務。

 

 

1.8    The Company may make available to the Customer any value added service (“VAS”) as offered by the Company and/or third party service providers from time to time. The Company and/or third party service providers may add, remove, replace or change some or part of the VAS from time to time.

本公司可不時向客戶提供由本公司及/或第三方服務供應商供應的增值服務(增值服務)。本公司及/或第三方服務供應商可不時增加、取消、替換或改變一些或部分增值服務。

 

 

1.9    We may put limits on the use of Services, such as messaging services or storage services. For example, we may limit the size of messages or storage space.
我們可限制有關本公司電訊服務 (如「訊息服務」或「儲存服務」) 的使用,例如: 我們可限制訊息容量或儲存空間。

 

 

1.10  The Services shall not be used under any one of the following circumstances:

服務不得在下列任何情況下使用:

 

 

(a)       in any manner which may adversely affect the Company’s ability to provide, complete or maintain the level or quality of its network or other services;

對本公司提供、完成或維持網絡或其他服務的水平或質素的能力可能有不良影響;

 

 

(b)      connected with any act that may interfere with the security, safety, stability, quality, efficiency or
operations of the network on which the Company carries out its services;

任何行動可能干擾本公司用以提供服務的網絡的保安、安全性、穩定性、質量、效率或運作;

 

 

(c)      in a manner which may cause network congestion or overload including sending, downloading or uploading content of an excessive size;

可能導致網絡擠塞或超載,包括發送、下載或上傳過大的內容;

 

 

(d)  for a use which is or involves the publication of any material that is illegal, improper, unlawful, fraudulent, defamatory, pornographic, obscene, sexual, abusive, violent, offensive or would otherwise infringe any applicable law;

涉及發表非法、不當、違法、欺詐、誹謗、色情、淫穢、性慾、謾罵、暴力、攻擊性或其他違反任何適用法律的材料;

 

 

(e)      in a manner which may infringe any third party intellectual property rights;

可能侵犯任何第三方的知識產權;

 

 

(f)        in a manner which is harmful to the Company or its reputation or violates the Company’s policies or expose the Company to regulatory or legal risk; and

對本公司聲譽有不利影響,或違反本公司政策,或導致本公司置身監管或法律風險;及

 

 

(g)       in a manner which is designed to cause loss or damage to the Company such as using the Services for commercial purposes or reselling the Services.

有意使用服務以對本公司造成損失或損毀, 例如利用服務作商業用途或轉售服務。

 

 

1.11  If the Customer fails to comply with any of the prohibitions specified in Clauses 1.4, 1.5 and 1.10; or upon the occurrence of any one or more of the circumstances specified in Clauses 1.4, 1.5 and 1.10; or if in the reasonable opinion of the Company, the Customer’s use of the Services adversely effects the Company’s ability to provide, complete or maintain the level or quality of its network or other services or to cause loss or damage to the Company, the Company may forthwith take such steps it considers reasonably necessary or appropriate including but not limited to restricting, limiting, suspending or terminating the Services to the Customer without notice.

          如果客戶未能遵守第1.41.51.10條指明的禁令,或發生第1.41.51.10條所述的任何一種或多種情況,或本公司合理認為客戶使用服務對本公司提供、完成或維持其網絡或其他服務的水平或質素的能力造成不利影響、或者客戶使用服務的方式對本公司造成損失或損害,本公司可立即採取其認爲合理需要或適當的措施,包括但不限於約束、限制、暫停或終止向客戶提供的服務而不必事先給予通知。

 

 

1.12  Unless otherwise notified by the Customer, the Customer agrees to receive information sent from the Company for any or all of the following purposes:

           除非客戶另行通知,客戶同意收取本公司為以下任何或所有目的所發的資料﹕

 

 

(a)   marketing of any products and services by the Company, its agents, affiliates or subsidiaries in relation to the Services;

推廣本公司、其代理商、聯繫公司或附屬公司與本服務有關之任何產品及服務;

 

 

(b)     improvement such as updates and upgrades of the Company’s Services;

改善,如更新及提升本公司的服務;

 

 

(c)      any benefits arising out of or in connection with the Services;

提供因本服務而享有或與本服務有關之任何優惠;

 

 

(d)    facilitate complete or confirm the provision of the Services by the Company to the Customer under the Agreement.

有助於完成或確認本公司根據合約向客戶提供之服務。

 

 

2.          SUBSCRIBER IDENTITY MODULE CARD (SIM CARD)/ SIM

 

 

2.1    The Company will issue a SIM card to the Customer for access to the Services upon entering into the Agreement.

本公司在訂立合約時會提供SIM卡給客戶以讓其使用服務。

 

 

2.2   The SIM card shall at all times remain the Company’s property and the Customer shall not claim or acquire any interest therein or right thereto.

SIM卡在任何時候皆屬本公司的財產,客戶不能宣稱或追討任何與SIM卡有關的利益或權利。

 

 

2.3    The Customer acknowledges that the Company is the absolute and exclusive owner of all information written into, incorporated, stated or otherwise included in the SIM card (excluding information stored by the Customer) and undertakes to keep all such information confidential at all times.

客戶確認本公司對於填寫、併入、列明或任何其他包含在SIM卡內的資料(客戶自行存置的資料除外)有絕對及獨家權利,並同意不論任何時候均對有關資料加以保密。

 

 

2.4    The Customer shall take proper care of the SIM card and shall not permit any person (other than the Company or authorised users under the account of the Customer) to take possession or control of the SIM card. The Customer shall not copy, extract, alter, tamper with or otherwise misappropriate any information in the SIM card or allow, permit or authorise any other person to do so.

客戶必須妥善處理SIM卡及不能容許任何人(本公司或經客戶正式授權使用的人士除外)擁有或控制SIM卡。客戶不能複製、摘錄、變更、擅自改動或盜用任何儲存於SIM卡內的資料及不能容許、批准或授權任何其他人作出此等行為。

 

 

2.5    We recommend that you recharge your selected SIM Card Product prior to the expiry date in order to avoid the service termination. Recharge Voucher of selected SIM Card Product is available at the Company’s designated merchant outlets.

          為免你的指定SIM卡產品服務被終止,建議你於有效期限前提早充值。指定SIM卡產品之充值卷,可於本公司指定之經銷商各專營店購買。

 

 

 

2.6   Mobile telephone number of SIM Card is assigned randomly by the Company. Customer shall not choose, return, or request to change any mobile telephone number assigned to the Customer. If for whatever reason, SIM Card expires, services suspended and/or terminated, customer may not able to keep or have continue access to the assigned mobile telephone number.

SIM卡之電話號碼為隨機分配,客戶不能選擇ˎ 退回或要求更改穫分配之電話號碼。若SIM卡因過期而無效ˎ 因任何原因被暫停或終止服務,客戶將不能保留或繼續使用所分配之電話號碼。

 

 

2.7    SIM replacement service is only applicable to selected SIM Card Product. No replacement will be given if the original SIM card body is lost. Please refer to www.vave.com.hk for SIM replacement details.

          補卡服務只適用於指定SIM卡產品。若卡主証明不幸被遺失,客戶將不會獲補發新卡。有關SIM卡補領詳情, 請瀏覽 www.vave.com.hk

 

3.            PAYMENT FOR THE SERVICES / 服務費用

 

 

3.1     All payments for the Services are non-refundable under whatever circumstances. Any sum so paid to the Company shall not bear interest for the Customer. The Customer shall be liable for all charges irrespective of whether the Services is used by the Customer or a third party whether with the knowledge or consent of the Customer and whether the use or transmission of the Services
is successful.

在任何情況下,客戶向本公司就選購的產品和服務已繳付之費用將不獲退還。本公司對客戶所繳付的任何金額,絕無支付利息的責任。客戶須支付所有費用,不論是否客戶使用服務或客戶知道或同意的第三方使用服務,及服務的傳輸是否成功。

 

 

3.2   In the event of any dispute relating to the charges, the books and records of the Company are conclusive evidence of all such charges incurred by the Customer. 

           凡費用方面有任何爭議,本公司的賬簿及記錄一概被視為客戶應繳費用的真憑實據。

 

 

3.3   Payments made by post, internet or other electronic means shall be at the Customer’s risk and a payment shall not be deemed to have been paid until the payment is received by the Company.

以郵遞、互聯網或其他電子方式付款的風險概由客戶承擔。本公司在收到該應繳款項後,方視作客戶已正式繳費。

 

 

4.            TERMINATION AND SUSPENSION 終止及暫停

 

 

4.1    In addition and without prejudice to other provisions contained in the Agreement, the Company shall be entitled to forthwith terminate the Agreement, disconnect the Services altogether, limit or suspend any part thereof without notice, upon the occurrence of any one or more of the following events:

在下列任何情況下,以不損及合約所載其他條款的條件下,本公司有權立即終止合約、完全切斷服務、限制或暫停提供部分服務而毋須給予通知﹕

 

 

(a)  if any charges or other sums whatsoever payable by the Customer hereunder remain unpaid after becoming due; or

凡客戶應繳的任何費用或款項逾期未繳;或

 

 

(b)  if the Customer fails to perform its obligations under the Agreement and/or applicable law, or commits or is likely to commit a breach of any of the terms and conditions contained in the Agreement; or

凡客戶無法履行合約及/或適用法律下的責任,或違反或可能違反合約所載的任何條款及條件;或

 

 

(c)  if the Customer or any authorised user under the account of the Customer misuses the Services; or

凡客戶或任何經客戶授權的人士不當使用服務;或

 

 

(d)  if the use of the Services exceeds the usage limit specified by the Company from time to time or interferes with the efficiency and operations of the network on which the Company carries out its services; or

凡服務超過本公司不時訂定的用量限額或;或干擾本公司用以提供服務的網絡的效率及運作;或

 

 

(e)  if the provision of the Services will cause irreparable damage to the security, safety, stability, quality, efficiency or operations of the network on which the Company carries out its services, its equipment, facilities or systems;

凡服務導致本公司用以提供服務的網絡、設備、設施或系統的保安、安全性、穩定性、質素、效率或運作遭受無法修復的損害;

 

 

(f)   if the SIM card is or becomes lost or stolen property; or

SIM卡遺失或被盜;或

 

 

(g)  if the Customer copies, extracts, alters, tampers with or otherwise misappropriate any information written into, incorporated, stored or otherwise included in the SIM card or allows, permits or authorize any other person to do so; or

凡客戶抄襲、摘錄、變更、擅自改動或盜用任何寫入、併入、儲存或包含於SIM卡內的資料,或容許、批淮或授權其他人作出此等行為;或

 

 

(h)  if the Customer modifies, alters or otherwise tampers with the communication equipment for the Services or allows, permits or authorize any other person to do so; or

凡客戶修改、變更或擅自改動用以接收服務的通訊設備,或容許、批淮或授權其他人作出此等行為;或

 

 

(i)   if the Customer or any authorised user under the account of the Customer use the Services for any fraudulent or unlawful purposes or uses abusive, threatening, harassing, vulgar or obscene language to other Customers or employees of the Company through the Services, or allows, permits or authorizes any other person to do so; or

凡客戶或經客戶授權人士利用服務作欺詐或非法用途,或透過服務向本公司其他客戶或僱員使用粗言穢語、恐嚇、騷擾、不雅或淫穢的語言,或容許、批淮或授權其他人作出此等行為;或

 

 

(j)   if the Company reasonably believes that the provision of the Services is liable to cause death or
personal injury or damage to property; or

凡本公司合理認為提供服務可能導致他人死亡、人身傷害或財產損失;或

 

 

(k)   if the Customer furnishes information to the Company which he knows to be false or misleading; or

凡客戶向本公司提供客戶知悉為虛假或誤導性的資料;或

 

 

(l)    if it is necessary for the Company to comply with an order, instruction, determination or direction of a judicial body, government or regulatory authority; or

凡本公司須遵從司法機構,政府或規管當局的命令、指示、裁決或指令;或

 

 

(m)  if any of the governmental or regulatory licences, waivers, consents, registrations, permissions or approval necessary for the Company to carry on the Services is revoked, not obtained or not renewed; or

如任何本公司賴以提供服務的政府或監管牌照、豁免、同意、登記、許可或批准遭撤銷、未能取得或未能續期;或

 

 

(n)  if it is necessary to carry out scheduled maintenance, repair or upgrading to the Services, equipment, facilities, system or network of the Company or any third party service
providers; or

如本公司或任何第三方服務供應商必須就服務進行定期保養、維修或提升;或

 

 

(o)  if the Company ceases to provide all or part of the Services or if any third party supplier ceases to provide, suspend or limit services to the Company which are necessary for the provision of the Services by the Company to the Customer; or

如本公司停止提供全部或部分服務,或任何第三方服務供應商停止向本公司提供、暫停或限制服務而該等服務對本公司向客戶提供服務至為必要;或

 

 

(p)   if the Customer has successfully ported his mobile telephone number to another mobile service operator; or

如客戶成功將流動電話號碼轉攜至另一流動服務營運商;或

 

 

(q)  if suspension is necessary to prevent the Customer from sending unsolicited promotional message under Clause 1.4.

如根據第1.4條服務必須暫停以阻止客戶發放非應邀宣傳訊息

 

 

4.2    The Customer shall be liable for all charges payable hereunder. Termination hereunder shall be without prejudice to any rights that the Company may have against the Customer prior to the date of termination and shall not relieve the Customer from fulfilling his obligations prior to the date of termination.

客戶須承擔所有應繳款項。終止本協議並不損及本公司對客戶在終止日前所擁有的權利,並且不會免除客戶履行本身的責任。

 

 

4.3    The Company shall have the right to assign the Customer’s mobile telephone number for the Services to another customer after the Services provided to the Customer is terminated or disconnected unless the Customer elects to port the mobile telephone number to another mobile service operator prior to such termination or disconnection.

當服務終止或切斷後,本公司有權將客戶的流動電話號碼分配予其他客戶,除非客戶在有關終止或切斷前選擇把流動電話號碼轉攜至另一流動服務營運商。

 

 

5.            LOST OR STOLEN SIM CARD /遺失或被盜SIM

 

 

5.1  If the SIM card is lost or stolen or if the SIM card is converted, tampered with or otherwise misappropriated, the Customer must immediately report such incident to the Company and notify the Company of disconnection of the Services in writing upon becoming aware of the event.

凡遺失或被盜竊登記用於服務的SIM卡或SIM卡被改變、擅自改動或盜用,客戶必須在知悉事件後立即書面通知本公司及要求本公司切斷服務。

 

 

5.2   Notwithstanding such report, the Customer shall continue to be liable for all call or service charge payable under the Agreement attributable to the period during which the SIM card is lost or stolen or the SIM card is converted, tampered with or otherwise misappropriated until such time when the Company shall have actually received the written notice specified in Clause 5.1 and the Services to the item concerned is disconnected.

儘管客戶作出上述通知,客戶仍須繼續承擔該報失SIM卡或被改動或盜用SIM卡的所有通話及服務費用,直至本公司收到第 5.1條所指的書面通知及已經停止提供該SIM卡的服務。

 

 

5.3    The Company may, subject to a charge prescribed under Clause 2.5, provide a replacement SIM card to the Customer for continuing access to the Services.

           本公司可在收取第2.5條指明的費用後向客戶補發SIM卡,以讓客戶繼續接收服務。

 

 

6.            PORTING OF MOBILE TELEPHONE NUMBER/流動電話號碼轉攜

 

 

6.1    The Customer does not acquire any right in any mobile telephone number assigned by the Company.

就本公司分配給客戶的任何流動電話號碼,客戶不會獲得其中的任何權利。

 

 

6.2   The Customer may apply for the porting of his mobile telephone number from the Company’s network to the network of other mobile service operator. Upon successful porting of the mobile telephone number from the Company, the Services shall be forthwith terminated.

客戶可申請從本公司網絡轉攜其流動電話號碼到其他流動服務營運商。當該流動電話號碼成功從本公司轉攜至另一流動服務營運商,服務將立即終止。

 

 

7.             LIMITATION OF LIABILITY / 責任限制

 

 

7.1   The Company does not make any express or implied guarantee or warranty to the effect that the Services provided will be uninterrupted or fault free and it is not liable for any loss or damage of the Customer by reason of any interruption of or degradation to the Services. The Customer accepts that the Company may rely on the networks, systems, facilities and services of third party service providers to provide the Services. The Company makes no warranties of any kind and accept no responsibilities in relation to the accuracy, completeness, consistency and timeliness of such service and information. With the use or access to such service and information, the Customer and any party irrevocably and
unconditionally accept and agree to be bound by this disclaimer.

本公司不能就服務不被終斷或完整無誤作出明示或默示的擔保或保證,而本公司亦不會就服務中斷或質量下降而導致的任何損失或損害承擔責任。客戶確認本公司可能依靠第三方服務供應商提供的網絡、系統、設備及服務來提供服務。本公司不作任何保證且不負責有關服務和信息的準確性、完整性、一致性及準時性。當使用或接收有關服務和信息時,即代表客戶及任何人不可撤回並無條件地接受及同意此免責聲明的約束。

 

 

7.2      The Services provided by the Company may include advertisements which content is not responsible by the Company. The Company is not a party to and is not otherwise involved in any manner in any correspondence or business dealings with or participation in promotion of the advertisers found on or through the Services, including payment and delivery of goods or services and any other terms, conditions, warranties or representations associated with such dealings which are solely between the Customer and such advertiser. The Customer agrees that the Company shall not be responsible or liable for any loss or damage whatsoever incurred as a result of any such dealings or as a result of the presence of such advertisers on the Services.

本公司提供的服務或會包括廣告,其內容本公司概不負責。客戶與本公司服務上出現之廣告或通過服務與廣告商有任何形式的往來或商業交易,或參與廣告商的促銷活動,包括有關貨品或服務的付款及交付,以及關於此類交易的任何其他條款、條件、保證或陳述,純屬客戶與廣告商之間的交易,本公司並非合約方亦沒有涉及其中。客戶同意,因任何此類交易或因廣告商在服務上出現而產生任何性質的任何損失或損害,本公司不應對此負有責任。

 

 

7.3   Save and except for any liability of the Company which cannot be excluded by law, the Company shall not be liable for any cost, claim, expenses, damage or loss of whatsoever nature suffered, sustained or incurred by the Customer or any person arising from or out of or relating to the provision or non provision of the Services including without limitation (i) any interruption or failure of the Services or any part thereof, or (ii) any failure, delay or mistake in establishing communication between the Customer and any other person, or (iii) any failure or delay while the Customer is communicating any message in the use of the Services; or (iv) any failure or delay in activating or deactivating the Services, or (v) any unauthorised use of the Customer’s communication equipment.

除卻法律上不可免除之責任外,凡因(i)服務或其部分中斷或失效;或(ii)客戶與其他人通訊時發生失效、阻延或誤差;或(iii)客戶在使用服務傳送訊息時發生失效或延誤;或(iv)啟動或停止服務時發生失效或延誤;或(v)客戶之通訊設備被盜用,而令客戶或任何人士蒙受任何性質的費用、索償、支出、損毀或損失,本公司概不負責。

 

 

7.4   The Company shall under no circumstances be liable for any loss (whether direct or indirect) of revenue, loss of profits or any consequential loss whatsoever suffered, sustained or incurred by the Customer or by other person arising (directly or indirectly) from or out of or relating to the provision of the Services or the Agreement.

無論任何情況下,客戶或其他人士因使用服務或根據合約而引致任何收入上的損失 (不論直接或間接),盈利的損失或任何相應而生的損失,本公司概不承擔任何責任。

 

 

7.5    To the extent permitted by law, the maximum aggregate liability of the Company for all liabilities which cannot be excluded by law under Clauses 7.1, 7.2, 7.3 and 7.4 shall be limited to the face
value of selected products and services.

在法律允許下,本公司就不能被第7.17.27.37.4條排除的法律責任的最高賠償總額限於客戶巳選購的產品和服務面值金額。

 

 

7.6   The Customer agrees to indemnify the Company and its representatives from and against any cost, claim, expenses, damage or loss of any kind suffered, sustained or incurred by the Company or its representatives arising out of a breach of the Agreement by the Customer and in connection with the enforcement of the Agreement by the Company.

凡因客戶違反合約及本公司執行合約而令本公司或其代表蒙受、遭受或招致任何性質的費用、索償、支出、損毀或損失,客戶特此同意賠償本公司及其代表。

 

 

7.7   Unless otherwise provided, nothing in the Agreement shall limit either party’s liability for personal injury or death caused by its negligence.

除合約另有註明,合約內並無限制任何一方就疏忽導致人命傷亡的責任。

 

 

8.             FAIR USAGE / 公平使用

 

 

8.1    The Customer agrees to use the Services in a fair manner.

客戶同意公平地使用服務。

 

 

8.2    The Customer shall not and shall procure its authorised users not to:

客戶不可作出如下行為,並不可允許其授權人士作出如下行為:

 

 

(a)   exceed a usage limit of the Services specified from time to time by the Company in relation to the
Customer; or

超過本公司不時就客戶制定的用量限額;

 

 

(b)  abuse, misuse, exhaust, waste or otherwise take unfair advantage of the Services to the detriment of the other customers or users of the Company;

濫用、誤用、虛耗、浪費或不公平地使用服務以致損害本公司其他客戶或用戶的利益;

 

 

 

(c)  cause problem or congestion to the network on which the Company carries out its services with extreme usage or excessive downloads, induce a measurable or significant service and quality degradation to the network, or cause loss to the Company or otherwise adversely affect the Company’s interest.

透過超高用量或過量下載引致本公司用以提供服務的網絡產生問題或擠塞,或對網絡造成顯著或重大的服務及質量下降,或對本公司造成損失或對其利益產生不利影響。

 

 

8.3    If the Customer has breached this Clause or violated any fair usage policy from time to time issued by the Company, the Company may without notice:

如客戶違反本條或本公司不時發布的公平使用政策,則本公司可作出以下行動而毋須事先通知:

 

 

(a)  allow the Customer to continue using the Services but with a lower priority in accessing the network resources or at a reduced data access speed ;

允許客戶繼續使用服務,但其所獲分配的網絡資源將被調低或被限速;

 

 

(b)  immediately suspend or terminate the Services.

立即暫停或終止服務。

 

 

GENERAL / 一般條款

 

 

9.             VARIATION / 修改

 

 

9.1   The Company shall be entitled, at any time, or from time to time, by giving prior notice to the Customer, to vary all or any of these terms and conditions of the Agreement and to impose new terms.

本公司保留權利,隨時預先通知客戶,修改合約的任何或全部條款及細則或訂立新條款。

 

 

10.          ASSIGNMENT / 物權轉讓

 

 

10.1 The Customer shall not assign, transfer, convey, license or otherwise dispose of any of its rights and obligations under the Agreement to any other party without the prior written consent of the Company. The Company may assign any of its rights and obligations under the Agreement to any third party at any time without the prior consent of the Customer.

未得本公司事先書面同意之前,客戶不可將合約的任何權利及責任分配、轉移、轉讓或許可給任何人或以其他形式作出處置。本公司可隨時向任何第三方轉讓合約的任何權利及責任而毋須客戶實現同意。

 

 

10.2  The Customer shall not assign, transfer, convey, license or otherwise dispose of the mobile telephone number which has been allocated by the Company to the Customer for the use of the Services.

客戶不可以分配、轉移、轉讓、許可或以其他形式處置本公司向其發出的流動電話號碼。

 

 

11.           APPLICABLE LAW / 適用法律

 

 

11.1  The Agreement is governed by the laws of Hong Kong.  The parties submit to the exclusive jurisdiction of the courts of Hong Kong for determining any dispute concerning the Agreement.

合約受香港法律管轄。合約方服從香港法院就裁定任何有關合約爭議的專有審判權

 

 

12.          FORCE MAJEURE / 不可抗力

 

 

12.1  The Company shall not be liable for any loss or damage resulting from delay or failure to perform the Agreement either in whole or in part where such delay or failure shall be due to causes beyond its reasonable control, or which is not occasioned by its fault or negligence, including but not limited to, war, the threat of imminent war, riots or other acts of civil disobedience, insurrection, acts of God, restraints imposed by governments or any other supranational legal authority or any other industrial or trade disputes, fires, explosions, storms, floods, lightening, earthquakes and other natural calamities.

凡由於延誤或未能履行合約的全部或部分條款而造成任何損失或損害,而引致該延誤或未能履行的原因,並不是本公司可以合理控制或因其過失或疏忽所造成,包括但不限於戰爭、戰爭來臨的威脅、暴動、其他群眾騷動或行為、叛亂、天災、政府或任何其他超國家法律當局所實行的限制,任何其他工業或貿易爭議、火災、爆炸、風暴、水災、閃電、地震及其他自然災害,本公司均毋須負責。

 

 

13.          NOTICES / 通告

 

 

13.1 Any notice or consent to be given by the Company to the Customer may be given by the Company either personally to the Customer or by post or by electronic or by SMS means addressed to the Customer. Such notice or consent shall be deemed to have been received by the Customer immediately if transmitted by electronic or by SMS means or when personally delivered and twenty four (24) hours after despatch if sent by post.

有關發給客戶的通告或同意書,本公司可面交客戶、或以郵遞或電郵或手機短訊形式傳送給客戶。凡以電郵或手機短訊或面交客戶的通告或同意書,皆視作客戶即時收到。以郵遞方式傳送的,則於寄出 24 小時後視作客戶收到。

 

 

14.          WAIVER OF RIGHTS / 權利放棄

 

 

14.1  A condition of the Agreement, or a right created by it, may only be waived by a party by giving notice and the failure to exercise or any delay in exercising a right or remedy provided by the Agreement or by law does not constitute a waiver of the right or remedy. A waiver of a breach of the Agreement does not waive any other breach. The Customer warrants that he has not relied on any representations or warranties by the Company other than those in the Agreement.

          合約的任何條件或由其訂立的權利只可由其中一方給予通知而豁免。沒有行使或任何延遲行使合約或法律規定的任何一項權利或補償均不構成放棄該權利或補償。豁免某項違約不免除任何其他違約。客戶保證沒有依賴本公司任何不列明於合約內的陳述或保證。

 

 

15.          SEVERABILITY / 可執行

 

 

15.1  If any clause or part of any clause is held by a court to be invalid or unenforceable, that clause or part of that clause is to be regarded as having been deleted from the Agreement and the Agreement otherwise remains in full force and effect.

若任何條款或任何條款的部份被法庭判為無效或不能執行,該條款或條款的部份將被視為自合約中刪去,合約的其他部份仍然保留全部效力和作用

 

 

16.          ENTIRE AGREEMENT / 全部協議

 

 

16.1  The Agreement embodies the entire understanding between the parties and there are no promises, terms or conditions, oral or written expressed or implied other than those contained in the Agreement.

合約包含了合約方的全部協議。除合約所載外,並無任何口頭或書面明示或暗示的承諾、條款或條件。

 

 

17.          INTERPRETATION / 詮釋

 

 

17.1  Reference to the plural shall include the singular and vice versa; words importing a gender shall include every gender; references herein to any person shall include references to individual, firm, body corporate or un-incorporate.

合約內之眾詞須包括單數,反之亦然;而合約內提及任何一種性別,須包括所有性別;而合約內提及的任何人,須包括個人、商號、法團及註冊公司。

 

 

17.2  The terms and conditions of the Agreement are written in both English and Chinese and are available on the Company’s website.

合約的條款及細則以中文及英文寫成,詳情可瀏覽本公司網頁。

 

 

17.3  In computing time under the Agreement, a period of days from the happening of any event shall be deemed to be inclusive of the day on which the event happens.

在合約下,從某事件開始計算一段時間須從該事件發生當日開始計算。

 

 

If there is any inconsistency or conflict between the English and Chinese versions of this Terms and Conditions, the English version shall prevail.
